4. Quotes, Consultations, and Service Requests
Submitting a contact form, support request, consultation request, quote request, or other inquiry does not establish a contractual relationship.
Service engagements become effective only after execution of a written agreement between the client and On-Time MSP.
5. User Accounts and Client Portals
Certain services may require access to a client portal or support platform.
Users are responsible for:
- Maintaining the confidentiality of account credentials.
- Restricting unauthorized access.
- Promptly reporting suspected security incidents.
- Ensuring information associated with accounts remains accurate.
On-Time MSP may suspend accounts that pose security risks or violate these Terms.
6. Intellectual Property

Clients acknowledge that cybersecurity risk cannot be entirely eliminated and agree that On-Time MSP does not warrant or guarantee absolute security.
11. Payment Terms
Fees for services shall be governed by the applicable service agreement, proposal, or Statement of Work.
Unless otherwise agreed:
- Invoices are due upon receipt.
- Recurring services may be billed monthly in advance.
- Late payments may incur finance charges.
- Services may be suspended for non-payment.
Clients remain responsible for all taxes, fees, and governmental charges associated with services unless otherwise stated.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL WEBSITE CONTENT, SOFTWARE, SERVICES, AND MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
ON-TIME MSP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, SECURITY, AND UNINTERRUPTED OPERATION.
WE DO NOT WARRANT THAT OUR WEBSITE OR SERVICES WILL BE ERROR-FREE OR FREE FROM HARMFUL COMPONENTS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ON-TIME MSP SHALL NOT BE LIABLE FOR ANY INDIRECT DAMAGES, INCIDENTAL DAMAGES, SPECIAL DAMAGES, CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE USE OF OUR WEBSITE OR SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID TO ON-TIME MSP FOR SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless On-Time MSP, its officers, employees, contractors, affiliates, and agents from any claims, liabilities, damages, losses, and expenses arising from:
